Terms of sale

1. Scope

These terms govern all sales of products by RootcareBio unless superseded by a separately signed agreement. By placing an order, the buyer accepts these terms.

2. Research use only

All products are sold for research use only. They are not intended for diagnostic, therapeutic, prophylactic or human/veterinary use, and may not be resold, repackaged or used in manufacturing without prior written consent. The buyer assumes all responsibility for safe handling and lawful use.

3. Quotations and pricing

Quotations are valid for 30 days unless stated otherwise. Prices are in US dollars and exclude shipping, taxes and duties. Catalog prices may change without notice; confirmed quotations are honored.

4. Payment

Standard terms are prepayment by bank transfer (T/T) or PayPal as stated on the proforma invoice. Approved institutions may request net payment terms. Title to goods passes upon receipt of full payment.

5. Delivery

Shipping dates are estimates. Risk of loss passes to the buyer upon delivery to the carrier. The buyer must inspect shipments and report damage or shortage within 48 hours of receipt.

6. Warranty and remedies

We warrant that products conform to the published specification at the time of shipment. If a product does not meet its specification, the buyer must notify us within 30 days of receipt; our sole obligation, at the buyer's option, is replacement of the product or a refund of the purchase price. Products stored or handled outside recommended conditions are excluded from this warranty.

7. Limitation of liability

Our liability is limited to the purchase price of the product. We are not liable for incidental, consequential or punitive damages, or for results of research conducted with our products.

8. Intellectual property

Sale of a product does not convey any license under patent or other intellectual property rights, except the right to use the product for research purposes. Nothing on this website constitutes an offer or technical advice creating such a license.

9. Governing law

These terms are governed by the laws of the seller's place of business, without regard to conflict-of-law principles. Disputes will be resolved by friendly consultation first, then by arbitration or the competent courts at the seller's location.
